Terms of Service

Welcome to Yumitrade. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Yumitrade Limited ("Yumitrade," "we," "us," or "our"), a company registered under the laws of the Republic of Kenya.

By creating an account, accessing, or using the Yumitrade platform, including all associated services, applications, and tools, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the platform.

We reserve the right to update or modify these Terms at any time. Material changes will be communicated through the platform or via email. Your continued use of the platform after such changes constitutes acceptance of the revised Terms.

To access the full features of Yumitrade, you must register for an account. During registration, you agree to:

• Provide accurate, current, and complete information about yourself and your business entity.
• Maintain and promptly update your account information to keep it accurate and complete.
• Keep your login credentials confidential and not share them with any third party.
• Accept responsibility for all activities that occur under your account, whether or not authorized by you.
• Notify us immediately of any unauthorized use of your account or any other security breach.

Yumitrade reserves the right to suspend or terminate accounts that contain inaccurate, incomplete, or fraudulent information, or that violate these Terms.

As a user of the Yumitrade platform, you agree to:

• Comply with all applicable laws, regulations, and industry standards in your jurisdiction and the jurisdictions of your trading partners.
• Provide truthful and accurate product listings, descriptions, pricing, and business information.
• Fulfill all orders and commitments made through the platform in a timely and professional manner.
• Communicate professionally and respectfully with other users, including buyers, suppliers, and platform representatives.
• Maintain all necessary business licences, permits, and certifications required for your trade activities.

Suppliers who participate in the Verified Supplier Programme must additionally comply with the verification requirements and maintain their verified status through ongoing compliance.

You may not use the Yumitrade platform for any unlawful purpose or in any manner that violates these Terms. The following activities are strictly prohibited:

• Listing, selling, or facilitating the trade of counterfeit, stolen, or prohibited goods.
• Engaging in fraudulent transactions, price manipulation, or deceptive trade practices.
• Attempting to circumvent the platform's payment or escrow systems, including taking transactions off-platform.
• Collecting, harvesting, or scraping data from the platform without prior written authorization.
• Uploading or transmitting viruses, malware, or any code designed to disrupt platform operations.
• Impersonating another user, business entity, or Yumitrade representative.
• Using automated tools, bots, or scripts to access the platform without authorization.

Violation of these prohibitions may result in immediate account suspension, permanent ban, and legal action as appropriate under applicable law.

All content, features, and functionality of the Yumitrade platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design and arrangement thereof, are the exclusive property of Yumitrade Limited and are protected by international copyright, trademark, and other intellectual property laws.

By uploading content to the platform, including product listings, images, descriptions, and business information, you grant Yumitrade a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the platform.

You represent and warrant that you own or have the necessary licences, rights, consents, and permissions to upload and share all content you submit to the platform, and that such content does not infringe upon the intellectual property rights of any third party.

Yumitrade operates as an intermediary platform connecting buyers and suppliers. Payment processing and escrow services are integral to ensuring secure transactions on the platform.

• Escrow Protection: All transactions on the platform are protected by our escrow system. Buyer payments are held securely until delivery is confirmed and accepted.
• Payment Release: Funds are released to the supplier only after the buyer confirms receipt of goods in satisfactory condition, or upon expiration of the inspection period without a dispute being raised.
• Platform Fees: Yumitrade charges a service fee on completed transactions. Fee schedules are published on the platform and may be updated with reasonable notice.
• Currency: All transactions are denominated in the currencies supported by the platform. Exchange rates, where applicable, are provided for reference only and may fluctuate.
• Refunds: Refunds are processed in accordance with our Buyer Protection policy and the outcome of any dispute resolution proceedings.

Yumitrade is not a financial institution and does not provide banking services. All payment processing is handled through licensed, third-party payment service providers.

Yumitrade provides a structured dispute resolution process to handle disagreements between buyers and suppliers fairly and efficiently.

• Step 1 — Direct Negotiation: Parties are encouraged to resolve disputes directly through the platform's messaging system within 5 business days.
• Step 2 — Platform Mediation: If direct negotiation fails, either party may escalate the dispute to Yumitrade's mediation team, who will review the evidence and propose a resolution within 10 business days.
• Step 3 — Final Decision: If mediation does not resolve the dispute, Yumitrade will issue a binding decision based on the available evidence, platform policies, and applicable law.
• External Arbitration: Disputes that cannot be resolved through the platform process may be referred to arbitration under the Arbitration Act of Kenya, with proceedings conducted in Nairobi.

Users agree to participate in the dispute resolution process in good faith and to provide all relevant documentation and evidence when requested.

To the fullest extent permitted by the laws of Kenya, Yumitrade Limited, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform.

This includes, but is not limited to, damages arising from:

• Loss of profits, revenue, data, or business opportunities.
• The quality, safety, legality, or delivery of goods transacted through the platform.
• Any actions or inactions of third-party service providers, including payment processors and logistics partners.
• Unauthorized access to or alteration of your account or data, except where caused by our gross negligence.

Yumitrade acts solely as a marketplace intermediary and does not take title to or possession of any goods traded on the platform. Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to Yumitrade in the twelve (12) months preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any legal proceedings arising from or relating to these Terms or your use of the platform shall be brought exclusively in the courts of Nairobi, Kenya, and you consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
